Driver author agreement
What you agree to when you create an account and upload a driver to the Ixpointa UCM portal. Draft under legal review.
Review and publishing
Ixpointa reviews, tests and signs uploaded drivers before publishing them in the catalogue. Ixpointa may refuse a version and give the reason, or remove from the catalogue a version with a security or operating problem. Uploaded code is never run on the portal server.
Your rights
You remain the author and owner of your driver. For as long as it is published, you grant Ixpointa the right to review it, sign it, distribute it to its customers and show it in the catalogue. You warrant that you have the right to publish this code (original code, or under a licence that allows it) and that it contains nothing malicious.
Free driver
A free driver is distributed free of charge to Ixpointa UCM customers. No payment is due, either by you or by Ixpointa.
Paid driver: 70 / 30 split
On each sale of a paid certified driver, 70 % goes to its author and 30 % to Ixpointa, based on the price collected excluding VAT, after payment fees. The selling price is agreed together before publishing. Payments are made every quarter once the amount due reaches €50; otherwise it carries over to the next quarter. A sales statement comes with each payment.
Becoming an official pack
With your written agreement, Ixpointa may take over your driver, maintain it and sell it as an official pack. You then receive 15 % of the price excluding VAT of that pack’s sales for 3 years.
Withdrawal
You can withdraw a pending version from your space, or ask for a published driver to be removed. Customers who already installed it can keep using it. Ixpointa may block an account that does not respect this agreement.
